EMC Definitively Acquires Pi Corp.
Pi develops software and online services to enable individuals to control how they find, access, share and protect their volumes of digital information.

privately-held developer of software and provider of services for personal
information management. With approximately 100 engineers located in the U.S.,
Canada and India, Pi develops software and online services to enable
individuals to control how they find, access, share and protect their
increasing volumes of digital information. Pi is in the process of beta
testing its first products.

Upon completion of the acquisition, Pi founder and CEO Paul Maritz, will
join EMC’s executive management team as President and General Manager of the
newly formed Cloud Infrastructure and Services Division. Reporting to Joe
Tucci, Maritz will continue to directly oversee development and operations for
Pi, along with other key elements of EMC’s cloud computing strategy, which
include the EMC Fortress SaaS infrastructure, the Mozy online backup service
and other upcoming EMC cloud infrastructure systems and software offerings
under development. Pi will operate as an independent subsidiary of EMC and
will continue expanding operations in its Seattle headquarters and other
offices in Montreal, Canada, and Bangalore, India. Prior to founding Pi,
Maritz spent 14 years working at Microsoft where he had broad development and
marketing responsibilities and was a member of the Executive Committee that
managed the overall company.
Maritz said, "By uniting the Pi team with a global technology leader like
EMC, we’ll be ideally positioned to realize our vision of allowing consumers
and corporate information workers to create, re-purpose, store, share and
access personal information in novel ways, taking advantage of the ubiquity of
computing power and a new interconnected world."
The acquisition of Pi will be an all-cash transaction and is expected to
be completed in the first quarter of 2008. On a GAAP basis, EMC currently
expects the acquisition of Pi will be dilutive by $.01 per diluted share in
2008. No further details of the transaction are being disclosed.

EMC invests more and more in the consumer market since several months. With development activities based in Bangalore, India and HQs in Seattle, WA Pi was founded in late 2003 by Paul Maritz, a former Microsoft executive, and Warburg-Pincus of New York, a major investor in India. One of Pi's partner is Aditi Corporation, in India, providing the company with critical know how on team creation and incubation capabilities, to help the company to build its own team in the country.
In 2006, Pi acquires for an undisclosed amount Smart Desktop that commercializes the results of the “TaskTracer” project of the
Intelligent Information Systems Laboratory at Oregon State University
(OSU). The research group, directed by Professors Tom Dietterich and
Jon Herlocker, developed new technology that uses machine intelligence
to automatically classify, sort and organize information for people by
observing and learning from their interactions with their PCs. Smart Desktop negotiated an exclusive worldwide license to
the TaskTracer technology, patents, and IP from the
University.
More about Paul Maritz, Pi's founder and CEO:
Born and raised in Zimbabwe, he spent 14 years working at Microsoft from 1986
to 2000. During that period, he managed the development and
marketing of System Software Products (including Windows 95,
Windows NT, and Windows 2000), Development Tools (Visual Studio)
and Databases Products (SQL Server), and the complete Office
and Exchange Product Lines. At Microsoft, Maritz served as a
member of the Executive Committee that managed the overall
company. He is also chairman of the Grameen Foundation. Prior to joining Microsoft, he spent 5 years at Intel. He is a graduate in Mathematics and Computer Science of
the Universities of Cape Town and Natal in South Africa and serves or was serving on the board of several privately-held software
companies (Talisma, Westside Corp., Mosaic Sofware). He has an active interest in the use of technology for developing countries and in wildlife issues. He has three children and lives with his wife in Mercer Island, WA.
