Nscale Raises $3.36 Billion in Pre-IPO Convertible Financing

Confirming the acceleration of its buiness

Nscale Ltd., a full-stack AI cloud platform, announced its $3.36bn raise via convertible loan notes, led by Third Point. The convertible funding round was also supported by new and existing investors including Nvidia, funds managed by Apollo, Citadel, Hudson Bay Capital, Abu Dhabi Investment Council, and 8090 Industries.Nscale LogoOther investors that participated in the financing include Davidson Kempner Capital Management, Qube Research & Technologies (QRT), Context Capital Management, Longaeva Partners L.P., Wellington Management, Castleknight, Ghisallo Capital Management, LionTree Investment Fund, L.P., Javelin Venture Partners, and Irving Investors.

Nscale’s full stack AI cloud platform serves hyperscalers, frontier model labs, AI natives, and enterprises building and scaling AI. With over $103bn in total contracted value (TCV), this capital will further accelerate expansion of Nscale’s vertically integrated AI cloud platform – from behind-the-meter power plants to liquid cooled AI data centers and large-scale GPU clusters – to support accelerating demand for AI cloud services.

“This marks a milestone for Nscale as we continue scaling our full-stack AI infrastructure to meet unprecedented global demand,” said Josh Payne, founder and CEO, Nscale. “With the backing of these world-class investors, we are strongly positioned to accelerate our data center buildouts globally.”

The financing consists of an initial $2.36bn tranche at closing and an additional $1bn commitment from Nvidia with funding expected in mid-November, 2026. The loan notes are convertible into ordinary shares (or non-voting shares in the case of Nvidia) automatically upon completion of Nscale’s initial public offering.

Goldman Sachs & Co. LLC acted as placement agent for Nscale in connection with this capital raise.

Europe has clearly a champion in the neocloud club with Nscale as a British company. But Nscale now looks less like a European sovereign AI cloud and more like a US power-and-construction project financed by its own customers

The entity has been founded in 2024 and thus now is preparing a US listing. We detect different valuation information coming from various sources between $30B and $35B. Six months earlier, in March, it was valued at $14.6B.

Its signed backlog is about $103B what the domain named the Total Contract Value or TCV. This TCV comes from Anthropic for about $45B representing more than 400MW and Microsoft with 1.35GW. Both commitments are tied to the planned Monarch campus in West Virginia, which could reach up to 8GW and will run on gas generation. Phase I, at 2GW, is due in the first half of 2028. We'll monitor this carefully.

Revenue trajectory is spectacular but losses as well, 1H26 revenue was $140.6M, up 1,252%, but net losses reached $1.02B. Nscale has about 55MW live, of which only 7MW is in sites it owns. Just $2.6B of the backlog is attached to capacity that is running. The prospectus carries going-concern language, and one customer accounted for 52% of revenue.

There is clearly an intense battle and race among neocloud providers, we mean Coreweave, Crusoe, IREN, Lambda Labs, Nebius, Nscale or Vultr to name a few.

Nscale's backlog is comparable in size to CoreWeave's, but it is delivering at a far smaller scale than CoreWeave, Nebius or Crusoe. A study ranks it sixth of the top 20 neoclouds, with its lowest scores on scale and power security.

Again it confirms some key market attributes with a circular financing model as Nvidia is at once Nscale's supplier, investor, customer and guarantor of some of its leases; an obvious concentration on frontier labs with Anthropic and Microsoft holding about 85% of contracted value and an energy dimension with the power coming before GPUs, securing gas-fired capacity matters more than having chips available.

We also anticipate some consolidation in the sector already started: Northern Data was absorbed by Rumble, Genesis Cloud by Volta, and Ori merged with Radiant.

We learned during our recent session with Clockwork.io that Nscale is a customer of its GPU fault-tolerance software, which fits its build-out phase.
