Investment Firm Clearlake Capital to Acquire Quest Software

From Francisco Partners

Quest Software, Inc. signed a definitive agreement with Clearlake Capital Group, L.P. (together with certain of its affiliates) to acquire the company from Francisco Partners.

Patrick Nichols, current CEO of Quest, will continue to lead the company supported by the existing executive management team.

Upon closing of the transaction, Clearlake will become the majority shareholder in Quest.

The terms of the transaction were not disclosed.

The transaction is expected to close in 1Q22, pending customary regulatory approvals and closing conditions.

For Quest, Goldman Sachs acted as sole lead financial advisor and J.P. Morgan also acted as financial advisor and Paul Hastings LLP acted as legal advisor.
 
Silicon Valley Tech Investment Bank and Morgan Stanley along with BoA Securities, Barclays, Evercore, and William Blair acted as financial advisors to Clearlake, and Sidley Austin LLP acted as legal advisor.
 
Goldman Sachs, Morgan Stanley, BoA Securities, Barclays, Credit Suisse, BMO Capital Markets and Citigroup, Inc. provided committed debt financing for the transaction.

Terms of the transaction weren't disclosed, though WSJ earlier reported a price of $5.4 billion, including debt.

Quest Software, based in Aliso Viejo, CA, was formally a unit of Dell, being acquired for $2.4 billion in 2012, before it was sold to Francisco Partners in 2016.
