CA Technologies Stockholders Approved Acquisition by Broadcom

For $18.9 billion as expected

CA Technologies announced that at a recent special meeting, its stockholders voted to approve the previously announced merger agreement with Broadcom, under which Broadcom, Inc. will acquire CA.

Under the agreement, CA’s stockholders will receive $44.50 per share in cash.

Subject to customary closing conditions, the transaction is expected to close in 4CQ18.

Upon the closing of the transaction, trading of CA’s shares on the Nasdaq will cease.
