Former Attorney General of Louisiana Charles C. Foti, Jr., Esq. and the law firm of Kahn Swick & Foti, LLC are investigating the proposed sale of Overland Storage, Inc. to Sphere 3D Corporation.

Under the terms of the proposed transaction, shareholders of Overland will receive only 0.510594 common shares of Sphere 3D, subject to certain potential adjustments, as set forth in the merger agreement.

Based on the closing sales price of Sphere 3D common shares on May 14, 2014, the last trading day prior to the announcement of the transaction, on the TSX Venture Exchange, the deal represents an implied price per share of Overland stock of $4.43.

KSF is seeking to determine whether this consideration and the process that led to it are adequate, or whether the consideration undervalues the company.
