Daniel Bordessa and Nils Hoff, Board’s Members, Overland

Following acquisition of Tandberg

According to a SEC filing published March 28 by Overland Storage, Inc., the board of directors appointed Daniel Bordessa and Nils Hoff to serve as members of the board until the next annual meeting of the shareholders of the company and until a successor has been elected and qualified, or until their earlier death, resignation or removal.

On January 21, 2014, the company entered into a consulting agreement with Hoff, with a term ending October 21, 2014 pursuant to which he will be paid a monthly consulting fee of $33,452 and a bonus equal to $292,580) in consideration of his efforts in connection with the acquisition of Tandberg Data payable in three equal installments payable on or about October 21, 2014, March 31, 2015 and July 31, 2015. He will also receive an equity award of 150,000 restricted stock units that will vest over a one-year period. In addition, he will receive an equity award of 150,000 restricted stock units in connection with his joining the board that will vest over a three-year period. The company also intends to enter into the company’s standard form of indemnification agreement in favor of Hoff.

Nils Hoff has been the CFO of Tandberg Storage ASA since August 8, 2006. He has been a director of Overland Storage since January 2014.

Overland Bordessa Daniel John Bordessa, also known as Dan, B.Com, MBA serves as the MD at Cyrus Capital Partners, L.P. in London, UK, focused on European and international investments in public and private companies across the capital structure, including providing growth capital. Prior to joining Cyrus at the beginning of 2005, he served as an executive director at Lazard, the international investment bank, in London, UK, where he gained experience in mergers and acquisitions and debt restructurings advising on many mergers and acquisitions and restructuring transactions in Europe and North America. He serves as a director of Melford International Terminal, Inc. He has been a director of High Arctic Energy Services Inc. since April 18, 2011 and Overland Storage since March 2014. He served as a director of Angel Mining plc since August 21, 2009. He also has a background in investment banking in both Europe and Canada. He holds a Masters of Business Administration from the Schulich School of Business at York University and a Honours Bachelor of Commerce from Carleton University.
